What should we ask the lender banker, if the risk of the loan is even greater than the net assets of the company is low? and what is he seeking in fact?

Risk of a loan is greater than the net assets of the company - In this case what I presume is that a company has approached the lender with a request for Exposure at default which is more than net assets of the company.

This can be acceptable to the lender if the exposure is sure to generate enough cash flows in the long run which can service the debt. Serviceability of the debt would become an important question as there are no enough net assets to fall back upon if the projections fail.

In addition to the above, the following may be looked for by the lender:

1. Guarantees from an established parent company

2. Letter of Comfort from parent company

3. Additional collateral 

4. Higher debt equity w.r.t the term loan

5. Established credentials of the group / promoters

However, as explained, without a satisfactory servicing capability, lender may not be interested in funding despite the availability of the above factors.
