(B) Terms of reference refers to the purpose and structure of a  committee, meeting, negotiation, project or any similar collections of people who have agreed to work together to accomplish a shared goal.

(C) A Statement of Work is a document, routinely employed in the field of project management, which defines project-specific activities, deliverables and their respective timelines, all of which form a contractual obligation upon the vendor in providing services to the client.
