Authorized shares of stock refers to the type and number of shares which a corporation can issue or has the right to issue.

 

Issued shares of stock refers to the shares actually issued or distributed to shareholders.

Authorized Capital is a definition used in PLC companies, the limit that authorities allow for Original shareholders to issue in Public, Limited by regulations and rules to protect public investors, usually all companies intent to public liabilities dont use full capacity of it, to keep space for future issuance ot possible strong investors who are still studying the involvement.

While they keep striving to deliver strong performance to authorities to raise this limit.

 

Issued Shares : is self explanatory definition, means what is actualy issued, this comprises privileged shares and oversubscribed which will be subject to allocation later.

Authorized Shares: Authorized shares are like the floor plan for your shares. They’re called “authorized” shares because the state of formation won’t let you issue more than that. When business owners apply to legal authorities to set up a corporation, they must specify an upper limit for the number of shares the company will issue. This upper limit is referred to as the number of authorized shares.Issued Shares: Issued shares are synonymous with shares outstanding. Someone owns them. These owners are the ones who factor into cap tables, voting and dilution. Shares issued refer to the number of shares that have been created and are held either by the issuing company itself or stockholders. Back in the day, textbooks would simply say that shares issued equal the number of shares that have been printed.

Authorized Capital is the maximum amount of capital that a company can issue as per it's memorandum and articles of association. The issuance of capital beyond authorized capital needs amendment in memorandum and articles of association which requires shareholders' approval in a general meeting.

 

Issued Capital is the actual capital issued.

The Capital clause states the total capital of the proposed company. The division of capital into equity share capital and preference share capital should also be mentioned. The number of shares in each category and their value should be given. If some special rights and privileges are conferred on any type of shareholders, mention may also be made in the clause to enable the public to know the exact nature of capital structure of the company.

The capital (Authorised Capital)  as per the Memorandum of Association determines the maximum capital that can be issued by the company in accordance with the necessary sanctions obtained and till a further amendment as per the prescribed norms and guidelines is approved with appropriate sanctions.

As far Issued Capital is concerned:  Out of the authorised capital, the capital now offered for subscription (including retained part of the oversubscription but below the authorised capital) is called Issued and Subscribed capital.

 

Subscribed capital can always be at par  with authorised capital or below it.

while issue share capital is the nmber of shares of company traded on stock market.. i e shares that are already issued..

Authorized Shares This simply represents the upper limit on the number of shares that the company can issue with the approval of share holders.

Issued Share arewhen the company sells them to an investor and receives cash or some other benefit in return.
