Briefly, the CMD is a simple shell introduced with Windows NT with the same basic syntax and functionality as DOS.
It has relatively limited capabilities, especially when compared to Unix shells.
PowerShell is a modern shell implementation with all sorts of extra goodies.
The Power Shell scripting language designed especially for system administration.
Built on the .NET Framework, Windows PowerShell™ helps IT professionals and power users control and automate the administration of the Windows operating system and applications that run on Windows.

In addition to Ahmad Amin answer, there are some advanced tasks that can only be done from PowerShell.
It can't be done from GUI or CLI.
Also, when you are managing very large number of servers, instead of wasting your time clicking on every server to do the task, you can run a PowerShell script to remotely change the settings on all servers at once, regardless if its only one small change, or hundreds of changes.

Power shell is more usable and more powerfull than CMD .
In other side CMD is simple but power shell is advanced

power shell is more advance then the commmad prompt.
It is easy to use as compare to cmd.
Its interface is user friendly

Powershell is a strong tool used for bulk/advanced administrative tasks in Windows.
cmd is not basically a admin's utility you can say it's just a powerful DOS or DOS++ inside windows.
